Applying for Foreign Investment Enterprise Registration (encouraged category and permitted category)
Foreign Investment Enterprise submits the following documents: 1. Application from the Chinese partner of the project to its supervising division, and application from the supervising division (business consulting agency in the case of wholly foreign owned enterprise) to Xuhui District People’s Government;2. Wholly foreign owned enterprise must entrust an agency that’s qualified for foreign business consulting service to submit application while presenting the entrust letter (original copy);3. Certificate of Incorporation (photocopy) from both Chinese and foreign investors from their country (or region) of origin; bank report (original copy) (individual investor provides bank statement and photocopy of ID);4. Property lease contract (agreement) and property ownership certificate (photocopy) from place of registration and venue of business operation;5. Company name approval letter from Administration for Industry & Commerce (photo copy);6. Authorization letter or entrust letter (original copy);7. Feasibility study report from Chinese and foreign investors, or from foreign service consulting agencies (must be signed by both Chinese and foreign investors) (original copy); 8. Agreement and regulations signed by both Chinese and foreign investors (only regulations needed for wholly foreign owned company) (original copy); 9. Board members appointment letter (original copy); 10. Supporting documents (for manufacturing or catering businesses) from Environmental Protection Bureau and Health and Epidemic Prevention Bureau;11. Other supporting materials as needed. Prepare the following documents to receive certificate of approval: 1. Approval documents of contract, regulations, and feasibility study report;2. Notification letter on the registration of company code for foreign investment enterprise and enterprise with investment from Taiwan, Hongkong, or Macao; 3. Document acceptance note from Xuhui District Foreign Economic Council Administration and Registration Division. Note: 1. If overall investment exceeds 30 million USD for encouraged and permitted projects, or 10 million for restricted projects, all application documents need to be presented with three copies (one primary, two auxiliary); all other projects require two copies of documents (one primary, one auxiliary), all on A4 paper. 2. If overall investment exceeds 30 million USD for encouraged and permitted projects, or 10 million for restricted projects, the application needs to be first reviewed by district Foreign Economic Council, then submitted to Shanghai Foreign Investment Commission for final approval.
Legal Basis for Such Administrative Approval： 1. Regulations of Intermediary Services for Self-financed Overseas Study, promulgated by the Ministry of Education, Ministry of Public Security and State Administration of Industry and Commerce； 2. Implementing Rules of Regulations of Intermediary Services for Self-financed Overseas Study, promulgated by the Ministry of Education, Ministry of Public Security and State Administration of Industry and Commerce. Eligible Applicant：Educational institutions or education service institutions; Conditions： 1. Educational institutions or education service institutions with legal person status in Shanghai； 2. Equipped with personnel familiar with relevant educational and studying policies of China and the targeted counties and with experiences of providing education services； 3. Having established stable cooperative and exchange relationship with overseas educational institutions； 4. Having sufficient fund to indemnify students in accordance with the agreement where the legitimate rights and interest of the students are jeopardized. Application Materials： 1. Application letter and application form for qualification recognition of intermediary service provider of self-financed overseas study； 2. Certificate of legal person status; 3. Resumes and relevant certificates of legal representative and main working personnel; 4. Letter of intent or agreement regarding the cooperation in self-financed education, which is directly signed with overseas higher educational institution or other educational institution, and document of certification issued by Chinese embassy or consulate resident in the relevant country； 5. Certificates of assets or capital verification report issued by qualified accounting firm； 6. Articles of association of the institutions； 7. Proof of office and office facilities； 8. Application form of intermediary service provider for self-financed overseas study. Service Hours and Reply： 1. Service hours：throughout the year 2. Timing of reply：within 7 working days after receipt of the approval letter of the Ministry of Education. Procedures： 1. Submission and acceptance of the application； 2. Initial review by the municipal educational committee, municipal public security bureau and municipal administrative authority of industry and commerce; 3. Examination and approval by the Ministry of Education and Ministry of Public Security Bureau； 4. Issuance to the applicant the Certificate of Qualified Intermediary Service Provider for Self-financed Overseas Study, upon approval by the Ministry of Education.
Approval of Donation by Overseas Chinese, Chinese with Foreign Nationality and Hong Kong and Macao Compatriots (Office of Overseas Chinese and Taiwanese)

Eligible Applicants: enterprises, public institutions, social groups and other social organizations in Shanghai that receive and arrange for donation and agencies in Shanghai that receive and arrange for donation in the name of administrative authorities. Procedures: Funds and goods donated is used in the cultural, educational, science and technology development, physical education, public health, overseas Chinese affairs, environmental improvement and other public welfare causes and may be directly used in industrial or agricultural production. Required materials：(1) Materials indicating the donation intention; (2) Declarations Form of Donation by Overseas Chinese; (3) The examination and approval opinion of the responsible supervising department of the entity that receives the donation. Procedures: 1. In case RMB, domestically purchased materials and dutiable import materials of a general nature are donated, the donee entities may submit their application directly to the Municipal Government OCAO for filing on the Website Shanghai Overseas Chinese Affairs.(qwb.sh.gov.cn). The donee entities may also submit their application to the OCAO of the district or county government of their locality or departments in charge of donations in their locality for filing, or, where there is no department in charge of donations, directly to the Domestic Division, Overseas Chinese Affairs Office of Shanghai Municipal People’s Government for filing. 2. In case foreign currencies, materials subject to import license, materials, automobiles and motorcycles imported duty free are donated, the donee entities may submit relevant documents to departments in charge of donations of their locality to be examined and approved by different levels. Legal Basis for Such Administrative Approvals: 1. Suggestions of the Overseas Chinese Affairs Office of Shanghai Municipal People’s Government on further Implementation of Regulations of Shanghai Municipality on Donations from Overseas Chinese (Hufu qiaoban nei （2003）No.14) 3. Notice of the Municipal Government on Promulgation of Provisions of Shanghai Municipal People’s Government on Overseas Chinese Investment in Public Welfare Undertakings (Hufufa(1984) No.28)The above service is free of charge.
I. Eligible Conditions： 1. The applicant shall be enterprise which produces tangible export products； 2. The products are mainly for export (including self-export, commissioned export by foreign trade agent and other export method) in accordance with the contract of the enterprise. Annual export volume shall exceed 50% of the sales volume of all products of the enterprise；(in terms of projects of processing with supplied materials, such volume is calculated based on the total closing value) 3. The applicant achieves foreign exchange balance or surplus in its business of the current year (i.e., the realized business foreign exchange income of the current year exceeds the business foreign exchange expense of the same, excluding the surplus carried over from the previous year)； 4. The enterprise makes profit for the current year; its capital has been duly contributed in accordance with the schedules and it has timely submitted the statistics forms. Such enterprises may apply for the status after one year of production. II. Required Documents: 1. Documents required to be submitted by foreign invested enterprises: (1). Three copies of application letter for recognition of “product export enterprise”; (2). Two copies of real performance forms of product export one year prior to such application; (3). Two copies of the foreign exchange balance form of the enterprise one year prior to such application; (4). Audit report of the foreign exchange balance form and the real performance form of export of the enterprise one year prior to such application, as issued by certified public accountant; (5). Other documents as may be required by the approval authority. 2. Procedures： (1). The applicant foreign invested enterprise shall submit a special report, along with the documents set forth above, to the supervising government department for review; (2). The supervising government department will submit the special report to the district government for approval; (3). The “ Recognition Certificate of Product Export Enterprise” is issued
Application for the Special Purpose Fund Supporting the Establishment of Software and Integrated Circuit Design Enterprises by Returned Overseas Students in shanghai (Human Resources Bureau)
1. Policy Basis(Legal Basis) : Provisional Measures of Administration of Special Purpose Fund Supporting Establishment of Software and Integrated Circuit Design Enterprises by Returned Overseas Students in Shanghai, issued by the Shanghai Information Office(Hu xinxiban fa  No.80) 2. ConditionsFor successful application for the Special Purpose Fund Supporting Establishment of Software and Integrated Circuit Design Enterprises by Returned Overseas Students (“Special Fund”), in addition to the existing requirements of establishment of enterprises by returned overseas students, the following conditions shall be satisfied:1) The applicant shall be the legal representatives or controlling shareholder of the enterprise, and generally with 8 years (or above) of overseas working or studying experience.2) The enterprise was established after January 1, 2002 in Shanghai, with registered capital temporarily determined as 500,000RMB or above (or foreign exchange in equivalent amount, to be adjusted as necessary and appropriate), and mainly engages in software development or integrated circuit design.3) The enterprise has not previously been granted the funding of business-staring special fund.3. Required Documents 1) application letter for the Special Fund(in two copies, with the municipal human resources bureau and the municipal information office keeping one each) The sample of the application letter can be downloaded from the “Form Download” icon on the website of www.21cnhr.com；2) detailed commercial proposal (two copies, with the municipal human resources bureau and the municipal information committee keeping each) ； 3) enterprise business license issued by the Administration of Industry and Commerce (“AIC”)(copy) ； 4) capital verification report issued by capital verification institutions;5) Certificate of Preferential Treatment Granted to Investment by Returned Overseas Students in Shanghai, issued by the Municipal human resources bureau;6) documents evidencing that the applicant has satisfied the conditions set forth in Article 5 (1) hereof;7) articles of association of the company (two copies, with the municipal human resources bureau and the municipal information committee keeping each). 4. Procedures：1) The applicant submits the application materials. 2) The municipal Information Committee examines and confirms the feasibility of the commercial proposal. 3) The municipal Human Resources Bureau reviews and makes assessment.(i) If the conditions are satisfied, the municipal Human Resources Bureau will issues the notification letter of funding;(ii) If the conditions are not satisfied, the municipal Human Resources Bureau will not approve the funding but will give written explanation of such refusal.Note：The application policy for the Special Fund started from June 1, 2002, with a temporary effective term of 3 years.
